1. General Provisions

1.1. These sales, delivery and use terms and conditions (hereinafter Terms) apply to all transactions made via the online store www.partstall.ee (hereinafter Online Store) operated by PartStall OÜ.

1.2. The Terms govern the use of the Online Store, ordering of products, payment, delivery, returns, warranty and handling of complaints and form an integral part of the sales contract between the Seller and the Client.

1.3. The legal relations between the Seller and the Client are governed by the laws of the Republic of Estonia and the European Union (including the Law of Obligations Act, Consumer Protection Act, GDPR).

1.4. The Client may be:

  • a Consumer – a natural person who purchases goods outside their economic or professional activity.

  • an Entrepreneur – a legal person or a sole proprietor (FIE) who purchases goods in connection with their economic or professional activity.

1.5. Special consumer protection rules (including the 14-day right of withdrawal) do not apply to Entrepreneur Clients to the extent that the law does not require it.

1.6. The Seller has the right to unilaterally amend the Terms, functionality of the Online Store and prices by publishing the updated Terms in the Online Store. Amendments do not affect orders submitted before the amendments enter into force.

1.7. By using the Online Store, confirming the cart and clicking the button “Buy with payment obligation” (or a similar button), the Client confirms that they have read the Terms and agree with them.

2. Prices

2.1. All prices in the Online Store are in euros (EUR, €) and include applicable VAT unless stated otherwise.

2.2. Prices do not include delivery costs, except where “free delivery” is explicitly indicated (for example from a certain order amount). Delivery cost is shown separately before the order is confirmed.

2.3. The Seller has the right to change prices at any time, including if:

  • the supplier changes the purchase price,

  • stock levels change,

  • an obvious technical error appears (for example, a product worth €350 is displayed at €35).

2.4. In case of an obvious error or clearly unreasonable price, the Seller has the right to withdraw from the sale even after the order has been confirmed. The Client will be informed and the amount paid will be refunded within 14 days.

2.5. Price changes do not affect orders that have already been confirmed and paid, except in the case of an obvious error described in clause 2.4.

3. Placing an Order and Conclusion of the Sales Contract

3.1. To order goods, the Client must:

1) add the desired products to the cart,

2) go to the cart page,

3) fill in the required fields (name, contacts, address, company data, etc.),

4) choose a suitable delivery and payment method.

3.2. The Client is responsible for the accuracy of the data provided. The Seller and delivery partners are not liable for delays or delivery problems resulting from incorrect or incomplete data.

3.3. Before confirming the order, the Client can review and change the information entered.

3.4. The sales contract is deemed concluded when:

  • the Client has confirmed the order in the Online Store; and

  • the total amount of the order (including delivery costs and any deposit fees) has been received on the Seller’s bank account or via the payment service provider.

3.5. After placing the order, the Seller sends an order confirmation to the Client by e-mail. If the confirmation is not received, the Client should contact the Seller (for example due to an incorrect e-mail address or spam filter).

3.6. The Seller has the right to cancel the order if:

  • the order cannot be fulfilled (for example, the product is out of stock, the manufacturer does not supply it),

  • the Client has not paid by the due date,

  • an obvious price or system error occurs (see clause 2.4).

The money paid will be refunded within 14 days.

4. Payment Methods and Payment

4.1. Payments in the Online Store are made through the payment solutions of Montonio Finance OÜ (exact options are shown at checkout):

  • Estonian and foreign bank links
  • debit and credit cards
  • InBank hire purchase (if available)
  • Apple Pay, Google Pay (if available)

4.2. If the payment is not received within 3 working days (except in the case of hire purchase or other special agreement), the Seller has the right to cancel the order. The Client will be notified by e-mail.

4.3. Invoices are issued electronically to the Client’s e-mail address or made available in the Client’s account.

4.4. Hire purchase and leasing contracts are concluded between the Client and the respective financial service provider. The Seller is not a party to these contracts and is not liable for disputes arising from them.

5. Delivery and Shipping

5.1. The standard delivery area is Estonia. If necessary, the Seller may offer delivery to other countries (information is displayed in the Online Store or agreed separately).

5.2. Possible delivery methods (depending on the Client’s choice and what is displayed in the Online Store):

  • DPD Pickup parcel locker,

  • DPD courier,

  • collection from the Seller’s warehouse (if indicated in the Online Store).

5.3. The delivery cost depends on the delivery method, destination country and order size and is displayed before the order is confirmed.

5.4. Delivery partner:

  • DPD Eesti AS.

5.5. Delivery times:

  • delivery time is indicated on the product page or in the cart;

  • if the order contains products with different delivery times, the longest delivery time applies by default (unless agreed otherwise);

  • shorter delivery time products: usually 1–3 working days after payment is received;

  • longer delivery time products: usually 3–10 working days or as indicated on the product card.

In exceptional cases (manufacturer delays, logistical problems, force majeure), the delivery time may be extended. The Client will be informed; if the new delivery time is not acceptable, the Client may cancel the order in full or in part.

5.6. If it turns out that delivery of the goods is impossible (product permanently out of stock, discontinued), the Seller will refund the amount paid (including the delivery cost for that product) within 14 days.

5.7. Stock balances in the Online Store may not be in real time. If the actual stock differs from what is shown, the Seller will refund the money paid and is not liable for any damage caused.

5.8. On receipt of the goods, the Client must check both the packaging and the goods:

  • visible damage must be noted on the waybill and the Seller must be informed;

  • if the parcel is heavily damaged, it is recommended to inspect the goods immediately in the presence of the courier or refuse the shipment.

5.9. Failure to notify the Seller about a defect does not deprive the Client of statutory rights, but may make later proof more difficult.

6. Products with Deposit (Returnable Parts)

6.1. Some products (e.g. alternators, starters, parts with housings) may have an additional deposit fee. This is shown separately on the product page and in the cart.

6.2. The deposit is refunded if the old part is returned to the Seller, usually within 30 days from receipt of the new goods (unless a different deadline is indicated).

6.3. The returned part must be:

  • complete (all components and details present),

  • without major damage and without heavily rusted structural elements,

  • not mechanically broken,

  • packed safely (preferably in the original packaging).

6.4. The Seller has the right not to refund the deposit or to reduce it if:

  • the returned product is incomplete,

  • it is heavily damaged or unsuitable for refurbishment,

  • the return is made later than agreed.

6.5. The practical procedure for returning deposit products (how and where to send) is described in the Online Store or according to the Seller’s instructions. Separate rules may apply to Entrepreneurs.

7. Consumer Right of Withdrawal and Return of Goods

7.1. The Consumer has the right to withdraw from the contract within 14 days from the date of receipt of the goods by submitting a return request in the Online Store or by sending a written notice to the e-mail address info@partstall.ee.

7.2. To use the 14-day right of withdrawal, the goods may not be used more than necessary to establish their nature and functioning (as allowed in a physical store).

7.3. Returned goods must be:

  • unused and without any signs of use, including a non-soiled package,

  • in the original packaging, with labels and accessories,

  • clean and with intact commercial appearance.

7.4. The direct costs of returning the goods (including postage) are borne by the Consumer, unless the reason for the return is the Seller’s fault (wrong or defective product, etc.). The Consumer may return the goods with a DPD return label sent by the Seller (the cost of the label is deducted from the refund, unless the return is due to the Seller’s fault) or arrange the transport themselves to the return address given by the Seller (PartStall OÜ or, for goods shipped from a partner warehouse, the partner’s address).

7.5. The right of withdrawal does not apply, among others, to:

  • custom-made products and goods manufactured according to the Client’s individual specifications,

  • factory orders placed specifically for a particular Client,

  • parts that have already been installed or used,

  • deposit products where the old part is not returned or does not meet the conditions set out in clause 6,

  • goods which, due to their nature, are not suitable for return (for example, opened filters, liquids, lubricants, etc.).

7.6. Refund of payments:

  • the Seller refunds all payments received (including the cost of the cheapest standard delivery method) no later than 14 days from the date of receipt of the withdrawal notice;

  • the Seller may withhold the refund until the goods have been returned or proof of return has been provided;

  • if the Consumer chose a more expensive delivery method than the standard one, the Seller is only obliged to refund the cost of the cheapest offered delivery method.

7.7. The automatic 14-day right of withdrawal does not apply to Entrepreneurs; returns are based on a mutual agreement.

8. Warranty, Defects and Complaints

8.1. The Seller is liable for the conformity of goods sold to Consumers with the terms of the contract in accordance with the Law of Obligations Act.

8.2. New products generally have the following warranty periods:

  • 2 years for Consumers,

  • 1 year for legal entities,

unless otherwise stated by the manufacturer or the Seller.

8.3. Shorter warranty periods or special terms may apply to consumable parts (brake pads, filters, oils, etc.). If necessary, please ask for additional information before purchase or installation: info@partstall.ee.

8.4. The warranty does not cover, among other things:

  • normal wear and tear,

  • damage caused by incorrect installation, misuse or ignoring maintenance instructions,

  • use of the product in conditions for which it is not intended (including racing or tuning, if not allowed by the manufacturer),

  • mechanical damage (impact, fall, etc.),

  • situations where the product has been opened or repaired in an unauthorised workshop contrary to the manufacturer’s instructions.

8.5. Defective goods must not be used further. Continued use may aggravate the defect and limit the Seller’s liability.

8.6. Burden of proof:

  • during the first 12 months from the transfer of the goods, it is presumed that a defect already existed at the time of delivery; the Seller must prove otherwise;

  • after 12 months, the Consumer must prove that the defect already existed at the time of delivery or arose due to a reason within the Seller’s responsibility.

8.7. The Consumer must notify the Seller of a defect as soon as possible, but no later than within 2 months from discovering it, by sending a complaint to info@partstall.ee. The complaint must contain:

  • name and contact details,

  • date of the complaint,

  • product name and invoice/order number,

  • description of the defect (preferably with photos),

  • preferred solution (repair, replacement, price reduction, termination of the contract).

8.8. The Seller will reply to the complaint within 15 days. If more time is needed, the Seller will inform the Client about the extended handling time.

8.9. In case of a defect, the Consumer may demand:

  • free repair or replacement of the goods,

  • reduction of the price,

  • termination of the contract and refund if the defect is material and cannot be remedied within a reasonable time.

8.10. Warranty terms for Entrepreneurs may be more limited and are based on the manufacturer’s terms and the parties’ agreement.

9. Liability and Force Majeure

9.1. The Seller is liable for direct material damage caused to the Client by the Seller’s intent or gross negligence or as provided by law.

9.2. The Seller is not liable for:

  • indirect damage (loss of profit, business interruption, downtime),

  • minor deviations from the delivery schedule if the reason is beyond the Seller’s control (delay of the delivery partner, traffic problems, logistical failures, etc.).

9.3. In the event of force majeure, the Seller is not liable for non-performance of obligations. Force majeure is an event that could not be influenced or reasonably foreseen (natural disaster, war, strike, state restrictions, widespread IT failures, etc.). The Client will be informed as soon as reasonably possible.

10. Processing of Personal Data

10.1. The Seller processes personal data in accordance with the PartStall privacy terms and applicable data protection rules (including GDPR).

10.2. Personal data are used for:

  • fulfilling and delivering orders,

  • managing the client account and purchase history,

  • complying with statutory obligations (accounting, etc.),

  • analysing and improving the service.

10.3. Payment data (card and bank details) are processed in a secure environment by the payment service provider (e.g. Montonio Finance OÜ). The Seller has no access to full payment data.

10.4. More detailed information is provided in a separate privacy policy available in the Online Store.

11. Intellectual Property

11.1. The content displayed in the Online Store (text, images, logos, product descriptions, software, etc.) belongs to the Seller or its partners and is protected by intellectual property rights.

11.2. The content of the Online Store may not be copied, distributed, modified or used for commercial purposes without the Seller’s prior written consent, except to the extent necessary for making purchases in the Online Store or as permitted by law.

12. Amendments to the Terms

12.1. The Seller has the right to update the Terms based on legislation, service development or quality improvements. The valid version is published in the Online Store.

12.2. Orders submitted before the amendments enter into force are governed by the Terms applicable at the time of placing the order.

13. Governing Law and Dispute Resolution

13.1. The Terms and the legal relations between the Seller and the Client are governed by the laws of the Republic of Estonia.

13.2. Disputes are primarily resolved through negotiations. Contact: info@partstall.ee, phone +372 524 9281.

13.3. In case of a dispute, the Consumer has the right to contact:

  • the Consumer Disputes Committee at the Consumer Protection and Technical Regulatory Authority,

  • the EU Online Dispute Resolution (ODR) platform.

13.4. If no agreement is reached, disputes will be resolved in Estonian courts in accordance with Estonian law.

14. Disclaimer

14.1. Product images are generally illustrative. The actual product may differ slightly (colour shade, markings, dimensions, etc.).

14.2. Product prices, technical data and availability may change without prior notice. In such a case, PartStall OÜ reserves the right to withdraw from the sale and will refund the Client the amount paid (including delivery cost) within 2 working days from the decision to withdraw.

14.3. Product descriptions may contain incomplete or inaccurate information that does not necessarily affect the functionality of the goods. To clarify compatibility or other important details, we recommend contacting customer support before purchase: info@partstall.ee or phone +372 524 9281.

14.4. The Seller is not liable for damage arising from the Client installing a product without checking compatibility or using the product in a way that does not comply with the manufacturer’s instructions.
